1. Definitions and Interpretation

In these Terms, unless the context otherwise requires:

• “Company”, “we”, “us”, or “our” refers to K. Creations, a business operating the website KCreations.co.in, and any owner, proprietor, or authorized representative thereof.

• “Website” refers to the K. Creations website hosted on GoDaddy and any successor domain, app, or platform operated by the Company.

• “User”, “you”, or “your” refers to any visitor, customer, subscriber, or person who accesses or uses the Website.

• “Content” means all text, reviews, images, videos, graphics, product comparisons, and other material published on the Website.

• “Third-Party Platforms” means e-commerce or marketplace platforms, manufacturer, wholesaler, or brand that the Company collaborates with, links to, or promotes.

• “Affiliate Links” means hyperlinks, banners, coupon codes, or referral tags placed on the Website that direct Users to Third-Party Platforms and may generate commission or referral income for the Company.

• “Services” means the product reviews, comparisons, recommendations, promotional content, and any e-commerce functionality offered through the Website.

2. Nature of the Business

K. Creations is a platform that publishes product reviews, comparisons, and recommendations, and engages in the online promotion of third-party products. The Company may also operate or intend to operate e-commerce functionality directly, and may enter into affiliate, referral, reseller, or promotional arrangements with e-commerce or marketplace platforms and with manufacturers, wholesalers, brands, and distributors.

Users acknowledge and agree that:

1. The Company may act purely as an information, review, and promotional intermediary for certain products, in which case the actual sale, fulfillment, shipping, payment processing, returns, and after-sale support for those products are carried out by the relevant Third-Party Platform or seller, and not by the Company.

2. Where the Company sells products directly through the Website, the terms in Section 6 (E-Commerce Transactions) shall additionally apply to such transactions.

3. The Company will clearly indicate, to the extent reasonably possible, whether a given page, listing, or link is a direct sale, an affiliate referral, or sponsored/promotional content.

3. Eligibility and User Accounts

By using the Website, you represent that you are at least 18 years of age, or are using the Website under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

Where account registration is offered or required:

• You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

• You agree to provide accurate, current, and complete information during registration and to update it as necessary.

• Product specifications, pricing, availability, and offers change frequently and are controlled by the respective Third-Party Platforms or sellers, not by the Company; the Company is not responsible for discrepancies between Website content and the actual listing on a Third-Party Platform.

• Reviews and recommendations reflect editorial opinion, research, and/or user-generated feedback, and should not be treated as professional, medical, legal, financial, or technical advice.

• The Company does not guarantee that any product reviewed or recommended will meet your specific requirements, expectations, or intended use.

• Where reviews are based on products supplied free of cost, at a discount, or in exchange for promotional consideration by a brand, manufacturer, or platform, this will be disclosed in accordance with Section 5 below.

Users are strongly encouraged to verify product details, pricing, warranty terms, and seller credentials directly on the relevant Third-Party Platform before making a purchase decision.

5. Affiliate Marketing, Sponsorships, and Disclosures

The Website participates in, or intends to participate in, affiliate marketing programs of e-commerce or marketplace platforms as well as direct partnerships with manufacturers and wholesalers.

• Some links on the Website are Affiliate Links. If you click such a link and complete a purchase on the Third-Party Platform, the Company may earn a commission or referral fee at no additional cost to you.

• Sponsored content, paid promotions, brand collaborations, and paid placements will be clearly and conspicuously labelled as “Sponsored,” “Ad,” “In Partnership With,” or similar, in line with applicable advertising and consumer protection guidelines.

• The existence of an affiliate or sponsorship relationship does not, by itself, compromise the independence of the Company's editorial opinion; however, Users should be aware that such relationships may exist when reading reviews and recommendations.

• The Company is not liable for the accuracy, pricing, stock availability, delivery timelines, quality, or legality of products listed, sold, or fulfilled by any Third-Party Platform or affiliate partner.

• All trademarks, logos, and brand names of online retail platforms, manufacturers and wholesalers and other partners belong to their respective owners; reference to them on the Website is for identification and promotional purposes only and does not imply any endorsement of the Company by those entities unless separately and formally agreed in writing.

Where the Company sells products directly through the Website (as opposed to referring Users to Third-Party Platforms), the following terms apply to such transactions:

6.1 Product Listings and Pricing

• All product descriptions, images, and prices are subject to change without prior notice. The Company makes reasonable efforts to ensure accuracy but does not guarantee that listings are free of errors.

• In the event of a pricing or listing error, the Company reserves the right to cancel or refuse any order arising from such error, with a full refund of any amount paid.

• A contract of sale is formed only upon the Company's confirmation of the order, typically via email or order confirmation notice.

• Payments are processed through third-party payment gateways. The Company does not store full payment card details and is not responsible for failures, delays, or breaches occurring at the payment gateway or banking level.

• All prices are inclusive/exclusive of applicable taxes as indicated at checkout.

6.4 Shipping and Delivery

• Estimated delivery timelines are indicative only and are not guaranteed. The Company is not liable for delays caused by courier partners, logistics disruptions, force majeure events, or incorrect address information provided by the User.

6.5 Cancellations, Returns, and Refunds

• Cancellation, return, exchange, and refund eligibility, timelines, and conditions will be specified in a separate Return and Refund Policy published on the Website, which forms part of these Terms.

• Refunds, where applicable, will be processed to the original mode of payment within the timeline specified in the Return and Refund Policy.

7. Intellectual Property Rights

All content on the Website, including text, reviews, graphics, logos, the K. Creations name and branding, layout, and design, is the property of the Company or its licensors and is protected under applicable copyright, trademark, and intellectual property laws.

• Users may not copy, reproduce, republish, distribute, scrape, or create derivative works from the Website's content without prior written consent from the Company, except for personal, non-commercial use or as permitted by applicable fair-use provisions.

• Product images, names, and trademarks belonging to Third-Party Platforms, manufacturers, or brands remain the property of their respective owners.

• Any unauthorized use of the Company's intellectual property may result in legal action.

8. User Conduct and User-Generated Content

If the Website permits comments, ratings, reviews, or other user-generated content, you agree not to post content that is:

• Defamatory, obscene, abusive, harassing, or unlawful;

• False, misleading, or intended to manipulate ratings or rankings;

• In violation of any third party's intellectual property or privacy rights;

• Spam, advertising, or unauthorized promotional material not approved by the Company.

By submitting content to the Website, you grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, and display such content in connection with the Website and its promotional activities. • Users are advised to review the terms and privacy policies of each Third-Party Platform before transacting.

10. Privacy and Data Protection

The Company collects and processes personal information (such as name, email address, contact details, and browsing behavior) in accordance with its Privacy Policy, published separately on the Website, which forms an integral part of these Terms and the user agreement.

• Information may be collected through cookies, analytics tools, contact/newsletter forms, and order processing (where applicable).

• Where the Company shares data with Third-Party Platforms, payment processors, or marketing/analytics partners, it will do so only as reasonably necessary to provide the Services and in accordance with applicable data protection laws, including the Information Technology Act, 2000 and applicable rules in India.

• Users have the right to request access to, correction of, or deletion of their personal data, subject to applicable law, by contacting the Company at info@kcreations.co.in.

11. Disclaimers and Limitation of Liability

To the maximum extent permitted by applicable law:

• The Website and its content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

• The Company does not guarantee uninterrupted, error-free, or secure access to the Website, and shall not be liable for any loss or damage arising from downtime, technical errors, or unauthorized access to or alteration of data.

• The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Website, reliance on any review or recommendation, or any transaction conducted with a Third-Party Platform.

• Where direct liability cannot be excluded under applicable law, the Company's aggregate liability shall be limited to the amount, if any, paid by you directly to the Company for the specific product or service giving rise to the claim, in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its owners, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your breach of these Terms; (b) your violation of any law or third-party right; (c) your use or misuse of the Website or any Third-Party Platform accessed through it; or (d) any content you submit to the Website.

13. Advertising and Promotional Compliance

The Company shall use reasonable efforts to ensure that its digital marketing, influencer collaborations, social media promotions, and affiliate disclosures comply with applicable advertising standards and consumer protection regulations, including the Consumer Protection (E-Commerce) Rules, 2020 and the Central Consumer Protection Authority's guidelines on endorsements and misleading advertisements.

• Material connections (e.g., free products, payment, commission) between the Company and any brand or platform featured in promotional content will be disclosed clearly and prominently.

• The Company does not knowingly publish false, misleading, or deceptive claims about any product, and will promptly correct any identified factual error brought to its attention.

14. Suspension and Termination

The Company reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate a User's access to the Website or any of its Services for violation of these Terms, suspected fraudulent activity, or any conduct the Company deems harmful to the Website, other Users, or its business partners.

15. Force Majeure

The Company shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to natural disasters, internet or hosting outages (including GoDaddy service disruptions), strikes, government action, pandemics, or failures of Third-Party Platforms or payment gateways.

16. Modifications to These Terms

The Company reserves the right to amend, update, or modify these Terms at any time, at its sole discretion, to reflect changes in business operations, new partnerships (including with additional e-commerce platforms, manufacturers, or wholesalers), or legal requirements. The updated Terms will be posted on the Website with a revised “Last Updated” date, and continued use of the Website after such changes constitutes acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

• Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably through good-faith negotiation between the parties.

• If unresolved within 30 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, conducted in Gurugram, India, in the English language, by a sole arbitrator mutually appointed by the parties.

• Subject to the above, the courts at Gurugram shall have exclusive jurisdiction over any matters not subject to arbitration.

18. Miscellaneous

• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

• Entire Agreement: These Terms, together with the Privacy Policy and any Return and Refund Policy, constitute the entire user agreement between you and the Company regarding use of the Website.

• No Waiver: Failure by the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

• Assignment: The Company may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, without requiring User consent.
